What is an SH10?
Form SH10 is the relevant Companies House form to file following a variation of rights attaching to shares. Following a share re-classification if there is also a variation of the rights attaching to the newly re-classified shares, form SH10 must be filed.

How do you reclassify shares?
To redesignate shares, the members of the company must pass an ordinary resolution with the following details:
- The name of the shareholder and the number of shares to be redesignated.
- The class of shares they originally belong to.
- The class of shares they are being redesignated into.
How do I file a SH01?

What happens if you don’t file with Companies House?
You’ll automatically receive a penalty notice if your accounts are filed after the deadline. The penalty is doubled if your accounts are late 2 years in a row. You can be fined and your company struck off the register if you do not send Companies House your accounts or confirmation statement.
What does a Ltd company have to submit?
The filing requirements of a limited company include the preparation of Company Tax Returns (CT600) and full statutory accounts for HRMC if your company is registered for Corporation Tax. However, you don’t need to prepare these if your company is dormant (inactive) for Corporation Tax purposes.
Can you file PSC01 online?
Use the online service to update your information as quickly as possible. You may use this form to give notice of an individual person with significant control (PSC). This is the address that will appear on the public record. This does not have to be the individual’s usual residential address.
Does a dormant company need a PSC?
